These Terms require the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and also limit the remedies available to you in the event of a dispute.

General information
Welcome to CENTRAL COURT (PRIVATE) LIMITED Law Firm E Corporate (“E Corporate”, "corporate.lk", "CENTRAL COURT (PRIVATE) LIMITED" the “Company,” “we,” “us,” and “our”). Formally, we are E Corporate. We provide our services (“Services”) online, including via our website at corporate.lk or any website owned by CENTRAL COURT (PRIVATE) LIMITED (collectively the “Website”), and other forms of communications such as email. Providing information on the Website also constitutes part of the Services.
We use the term “User” or “you” or “your” or “Visitor” or “Customer” to mean any past, current, or prospective customer of our Services as well as any visitor to the Website. These Terms apply to each Customer. There will be no fees for Customers to use the Services unless stated explicitly in these Terms or in other notices from E Corporate to Customers such as information on the Website.
These Terms govern your access to and use of our Services. By accessing or using the Services (including accessing the Website), you agree to be bound by these Terms as if these Terms were signed by you in ink on a hard-copy agreement. We may also ask you to confirm that you agree to these Terms, including by taking particular actions, such as clicking a button labelled “I Agree” or “Buy Now” or using the Services. Any personally-identifiable information about you or anyone else may be stored on or through the Services (“Personal Data”). So long as you are a Customer, E Corporate hereby grants you permission to use the software (“Software”) included in the Website as part of the Services. Your right to use the Software is revocable by E Corporate, and is not sublicensable. Moreover, the Software must be used solely for personal use by you.
The information provided in the Website or via any other means of transmission from E Corporate is not legal advice, but general information. The content contained on the Website or information contained in any other transmission from E Corporate is subject to these Terms.
E Corporate reserves the right to change or update these Terms at any time. Changes or updates of these Terms will appear on the Website and/or be communicated to Customer and are effective immediately. Use of the Website or receipt of Services after any such changes constitutes your consent to such changes and updates.

By accessing or using our website (corporate.lk) or any services offered online or offline by CENTRAL COURT (PRIVATE) LIMITED, you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree, you should not use our services or website.
2. Use of Website & Services
You agree to use the Website and Services only for lawful purposes and in compliance with applicable laws of Sri Lanka.
Unauthorized use of our website, systems, or content is strictly prohibited.
We reserve the right to restrict, suspend, or terminate your access if misuse or non-compliance is detected.
3. Service Scope
Our services include corporate advisory, e-corporate services, compliance support, and related business services.
Some services may require additional agreements, fees, or documentation.
Legal, tax, or financial advice will only be provided under separate written engagement.
4. Fees & Payments
All fees for services will be communicated clearly prior to engagement.
Payments must be made as per invoices issued.
Non-payment may result in suspension of services or refusal to process filings.
5. Intellectual Property
All content, branding, documents, and materials available on our website are owned by CENTRAL COURT (PRIVATE) LIMITED or its licensors.
No part of our website or materials may be copied, reproduced, modified, or distributed without prior written consent.

8.1 Regulatory & Government System Delays:
Technical issues, downtime, or delays in government-operated systems, including but not limited to:
Registrar of Companies (ROC) eROC Portal – company incorporation, name approval, or statutory filing delays.
Department of Inland Revenue (IRD Portal) – issuance of Taxpayer Identification Numbers (TIN), VAT registration, or tax filings.
Sri Lanka Customs ASYCUDA System – import/export clearance or related approvals.
Colombo Stock Exchange (CSE) & Securities and Exchange Commission (SEC) – delays in listed company compliance or approvals.
Labour Department & EPF/ETF Systems – delays in registration, contribution filings, or approvals.
Central Bank of Sri Lanka (CBSL) & Licensed Banks – delays in account openings, credit approvals, or foreign exchange clearance.
Other statutory bodies and online portals operated by the Government of Sri Lanka or its agencies.
8.2 Client-Related Issues:
Incomplete, inaccurate, or false information/documents provided by the client.
Delays caused by the client’s failure to provide required documents, approvals, or signatures within the given timeframe.
Miscommunication or failure of the client to act upon our advice in a timely manner.
8.3 Regulatory or Policy Changes:
Amendments, suspensions, or changes in laws, regulations, circulars, or administrative practices issued by government bodies, including but not limited to the Ministry of Finance, Department of Registrar of Companies, Department of Inland Revenue, Labour Department, Customs, Central Bank of Sri Lanka, or any other statutory authority.
8.4 Systemic Risks & Unforeseen Circumstances:
Natural disasters, strikes, lockouts, civil disturbances, pandemics, or national emergencies.
Internet or telecommunications failures affecting either CENTRAL COURT (PRIVATE) LIMITED or relevant government platforms.
Power outages or technological disruptions that hinder filing or submission processes.
8.5 Exclusions of Liability:
CENTRAL COURT (PRIVATE) LIMITED shall not be responsible for indirect, incidental, punitive, or consequential damages, including but not limited to financial loss, business interruption, reputational loss, or penalties imposed by government authorities due to delays outside our control.
Our role is limited to professional consultancy and facilitation. Final acceptance, approval, or rejection of filings rests solely with the respective government authority.
9. Amendments
CENTRAL COURT (PRIVATE) LIMITED reserves the right to modify these Terms at any time.
Updated Terms will be published on our website. Continued use of our services constitutes acceptance of such changes.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
